Terms of Service – TackrScout

These Terms of Service ("Terms") govern the use of recruitment, staffing, and talent placement services provided by TackrScout, a division of Tackr LLC. By engaging our services, you agree to these Terms. If you do not agree, you must not contract or use our Services.

Covered Services: recruitment services, staff augmentation, direct hire, workforce management, compliance handling, payroll management, and all related talent services provided by TackrScout.
2. Service Models
TackrScout operates through two primary service models: Staff Augmentation and Direct Hire. The specific terms of each engagement are defined below and in the signed Commercial Agreement with each client.
3. Staff Augmentation
Under the Staff Augmentation model, TackrScout hires the talent directly and assigns them to the Client to perform services. TackrScout handles payroll, contracts, compliance, HR administration, and operational oversight. The Client receives the talent as part of their extended team.
3.1 Weekly Billing

The Client receives one single weekly invoice for each assigned talent.

Invoices are issued every Monday.

Payment is due no later than Thursday of the same week.

This payment schedule ensures TackrScout can compensate the contractor on time and maintain uninterrupted service.

Invoices include worker compensation, taxes, fees, compliance costs, and TackrScout’s commission (already integrated). No upfront payments.
3.2 Permanent Replacement Guarantee

The service includes an unlimited replacement guarantee.

If the Client requests a replacement due to performance, culture fit, or shifting needs, TackrScout will provide a substitute at no additional cost.
4. Direct Hire
In the Direct Hire model, TackrScout sources and presents qualified candidates for permanent roles within the Client’s organization.
4.1 Payment Terms

The Client is invoiced only when the candidate accepts the offer and starts working.

The fee is a percentage of the candidate’s annual gross salary (defined in the Commercial Agreement).

No upfront fees.
4.2 90-Day Replacement Guarantee

If the candidate leaves or is terminated within 90 days, TackrScout will replace the candidate at no additional cost.
5. Commercial Agreement
All pricing, responsibilities, confidentiality terms, and additional service details are defined in a Commercial Agreement signed by both parties. That agreement prevails over any prior communication or proposal.
6. Client Responsibilities

Provide accurate and complete information about role requirements, expectations, and company culture.

Ensure timely payment of all invoices.

Respect the boundaries of the engagement model and avoid direct hiring of Staff Augmentation talent without prior written consent from TackrScout.

Treat talent fairly and provide a safe working environment.
7. Liability and Limitations

Services are provided “as is.” TackrScout does not guarantee specific business outcomes or performance results.

TackrScout is not liable for indirect, incidental, punitive, or consequential damages, including lost profits or business interruptions.

Maximum liability is limited to the amount paid by the Client in the 12 months preceding the claim.
8. Termination of Service

Either party may terminate the service according to the terms of the signed Commercial Agreement.

Outstanding invoices remain payable.

TackrScout may terminate services for misuse, non-payment, or breach of agreement.
9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States.

In case of dispute, contact contact@tackrscout.com first for an amicable resolution.

If unresolved, disputes shall be resolved preferably through binding arbitration in Delaware.
10. Changes to the Terms

TackrScout may update these Terms at any time.

Minor updates will be published on the website.

Significant changes will be communicated to Clients via email.
